Medavie is committed to the principles of independence, accountability and effectiveness of our board.

We have established processes for monitoring and evaluating the performance of the board, its committees, and the individual directors, regular evaluation of the President and CEO, effective orientation for new directors, and continuing improvement and education of all directors.

As a not-for-profit organization with no shareholders the board is, by virtue of this structure, self-appointed, however members are subject to a series of suitable governance practices that include the establishment of a skills and competency based profile, annual terms, term limits and age limits. With the exception of the CEO, no members of management sit on the board and all board committees are comprised entirely of independent directors.

Medavie has a skills-based matrix for the board identifying a series of relevant skills and competencies that are required by the organization to execute successfully against its strategic plan while satisfying legal and regulatory requirements as well as good governance practices. Board members self-assess across these competencies as Expert, Experienced and Developing. This is an important tool when assessing board continuity and renewal.

Medavie has set a deliberate policy for board renewal with the objective of balancing expertise gained through long time exposure to the organization with a desire to ensure the board directors remain current and bring outside expertise to its deliberations. Board directors are appointed annually and can serve a maximum of 12 consecutive years. Some exceptions apply if a director is appointed Chair prior to the expiration of this term. An individual may serve on the board until the age of 75.

In order to reinforce the concept of renewal, the term of the Chair is fixed at three years and that of the committee chairs at four years.
